1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (whether individually or on behalf of an enterprise or entity you represent) and ACCELFLOW SYSTEMS INDIA PRIVATE LIMITED (“AccelFlowSystems”, “Company”, “we”, “us”). By accessing our website, testing our public demonstration environment, or subscribing to the AccelFlowSystems operational intelligence platform, you agree to be bound by these Terms.

2. Software License & Scope of Use

Subject to compliance with these Terms and any accompanying Order Form or Master Services Agreement (MSA), AccelFlowSystems grants Customer a non-exclusive, non-transferable, revocable right to access and utilize the platform solely for internal operational risk analysis, vendor dependency mapping, and procurement continuity governance.

3. Demonstration Environment Disclaimer

The publicly accessible interactive demonstration environment incorporates synthetic data for a fictional entity (“Asteron Manufacturing”). The demo is provided solely for technical evaluation and pedagogical purposes. No warranties of fitness, performance, or persistent uptime are extended to unauthenticated or evaluation demo instances.

4. Customer Data & Proprietary Rights

Customer retains all right, title, and interest (including all intellectual property rights) in and to any proprietary vendor contracts, architecture configurations, or operational records uploaded to the service (“Customer Data”). Customer grants AccelFlowSystems a limited, non-exclusive license to process Customer Data solely as necessary to render the services contracted.

5. Acceptable Use Restrictions

Customer and authorized users shall not:

• Decompile, reverse engineer, disassemble, or attempt to derive the source code of the graph traversal engines or platform algorithms.
• Circumvent security access controls, multi-factor authentication, or logical tenant segregation barriers.
• Utilize automated crawlers, scrapers, or excessive programmatic queries that impose unreasonable loads on platform infrastructure.
• Upload documents or telemetry containing unlawful, infringing, or malicious content.
• Resell, sublicense, time-share, or offer the platform as a commercial bureau service to unauthorized third parties without prior written consent.

6. Intellectual Property

All rights, title, trademarks, service marks, algorithms, visual designs, software interfaces, documentation, and underlying codebases comprising AccelFlowSystems remain the sole and exclusive intellectual property of ACCELFLOW SYSTEMS INDIA PRIVATE LIMITED.

7. Disclaimer of Warranties

Except as expressly set forth in an executed Master Services Agreement, the platform, demonstration sandbox, and AI extraction capabilities are provided “as is” and “as available”. AccelFlowSystems disclaims all statutory and implied warranties, including merchantability, fitness for a particular operational objective, and non-infringement.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall AccelFlowSystems, its directors, employees, or affiliates be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, operational disruption, loss of data, or cost of substitute services, arising from or related to the use of the platform.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the Republic of India, without giving effect to conflicts of law principles. The competent courts situated in Pune, Maharashtra, India shall have exclusive jurisdiction over any dispute arising under or in connection with these Terms.
